Terms of Service

1. Acceptance of terms

By accessing or using Mithra Ecom. LLC (the "Service") at sticky-ecom-pilot-ai.base44.app, operated by Mithra Ecom. LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility & accounts

You must be at least 16 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and keep it current.

3. The Service & agents

Mithra Ecom. LLC provides AI-powered marketing agents that generate recommendations, content, and strategy for your connected store. Agents operate on a human-in-the-loop basis: they produce suggestions and drafts, and nothing is published without your review and approval. You are solely responsible for reviewing, editing, and publishing any agent-generated output and for ensuring it complies with applicable laws and platform policies.

4. Subscriptions & billing

• Subscription plans are billed monthly in advance through Stripe, our payment processor.
• Plans renew automatically until cancelled. You can cancel anytime; cancellation takes effect at the end of the current billing period.
• Prices may change with reasonable notice. Existing subscriptions are unaffected until renewal.
• Taxes, where applicable, are added at checkout.

5. Credits

Plans include a monthly allowance of generation credits. Credits power AI image and video (reel) generation. Unused credits do not roll over unless stated. You may purchase one-time top-up credit packs. Credits have no cash value and are non-refundable except where required by law. Failed generations are automatically refunded to your credit balance.

6. AI-generated content

Agent output is generated by AI models and may be inaccurate, incomplete, or unsuitable. We do not guarantee any specific results, rankings, sales, or performance from using the Service. You must independently verify all content before publishing. Mithra Ecom. LLC is not liable for the consequences of publishing agent-generated content.

7. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or infringing purposes.
• Generate content that is deceptive, harmful, harassing, or that violates third-party rights.
• Attempt to access, disrupt, or reverse-engineer the Service or its providers.
• Resell or sublicense access without permission.
• Use the Service to train competing AI models.

8. Intellectual property

You retain rights to your store data and the content you submit. You grant us a limited license to process your data solely to provide the Service. Agent-generated output is licensed to you for your business use. The Service, its design, and its underlying technology remain our property and are protected by intellectual property laws.

9. Third-party integrations

The Service integrates with third-party platforms such as Shopify, Google Search Console, Google Calendar, and AI providers. Your use of these integrations is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or actions of third-party services.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or achieve any particular result.

11. Limitation of liability

To the maximum extent permitted by law, Mithra Ecom. LLC and its suppliers shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or business, arising from your use of the Service. Our total aggregate liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Mithra Ecom. LLC harmless from claims, damages, and expenses arising from your use of the Service, your content, or your violation of these Terms or third-party rights.

13. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms or pose a risk to the Service. Upon termination, your right to use the Service ends; data is retained briefly per our Privacy Policy.

14. Governing law

These Terms are governed by the laws applicable to Mithra Ecom. LLC's place of business, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction, unless local mandatory consumer law provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via the Service or by email. Continued use after changes constitutes acceptance.
